Our Board of Directors (the “Board”) is responsible for directing and providing oversight of the management of our businesses in the best interests of the stockholders and consistent with good corporate citizenship practices. In carrying out its responsibilities, the Board selects and monitors the activities of senior management, provides oversight for financial reporting and legal compliance, determines our governance principles, and implements our governance policies. The Board works closely with management in establishing our operating values and code of conduct and in setting strategic direction and priorities.
